Effective 20 October 2026 · Version 2026-10-20
Platform terms
These terms govern access to and use of Aizyne Garden & Landscaping, the online software service developed and provided by Carter Langley, a sole trader operating under the trading name Aizyne Group (“Aizyne”, “we”, “us”). They form a legally binding agreement between Aizyne and the person or business subscribing to the service (“subscriber”, “you”).
1. Business use, authority and the agreement
The service is supplied for business and professional use only, not for personal, family or household use. By creating an account, accepting these terms or using the service, you confirm that you are acting in the course of business, are at least 18, have authority to bind the subscriber and have provided accurate legal and contact details.
These Platform terms, the Subscription and payment terms, the Data processing terms, our Privacy notice, the current Subprocessor register, and any plan or order details displayed before purchase together form the agreement. If they conflict, the Data processing terms prevail for processing personal data, specific written order details prevail for that order, and these Platform terms prevail otherwise.
2. What Aizyne provides—and does not provide
Aizyne provides configurable record-keeping and workflow software for garden and landscaping businesses. Features may include customer records, quotations, planning, field records, communications, invoicing and related tools. Aizyne is not a gardener, landscaper, designer, architect, surveyor, contractor, employer, accountant, tax adviser, legal adviser, health-and-safety adviser, payment institution or insurer. We do not inspect sites, supervise work, select materials, employ or direct a subscriber’s workers, warrant a subscriber’s work, collect its debts, or contract with its customers.
No customer quotation, approval, portal, communication, invoice, calculation, reminder, schedule or other record makes Aizyne a party, agent, guarantor or fiduciary in any relationship between a subscriber and another person.
3. Subscriber responsibilities
You are solely responsible for your business, workspace, authorised users, customers, workers, contractors and all activities carried out through your account. This includes:
- checking all measurements, scope, prices, tax treatment, dates, calculations, communications and outputs before use;
- contracts, consumer rights, guarantees, cancellations, refunds, debt recovery and disputes with your customers;
- site surveys, permissions, utility checks, risk assessments, method statements, chemical use, protective equipment, safe systems of work, competence and legal compliance;
- the quality, fitness, legality and safety of all labour, plants, products, designs, materials and services;
- obtaining permissions and lawful bases for personal data, photographs, plans, addresses and communications;
- maintaining appropriate professional, public liability, cyber and other insurance; and
- keeping independent copies, exports and contingency records reasonably necessary to continue operating if the service is unavailable.
You must use your own professional judgement and must not treat the service or its output as a substitute for inspection, verification, competent advice or a legally required record. Aizyne does not warrant that using the service will make your business compliant with any law, industry standard or contractual obligation.
4. Accounts, access and security
You must give access only to authorised people, assign appropriate roles, protect passwords and access links, use secure devices, and notify us promptly at info@aizynegroup.com of suspected compromise. You are responsible for activity through your account except to the extent directly caused by our breach of this agreement. We may require password resets, invalidate sessions or restrict access where reasonably necessary to protect users, data or the service.
5. Acceptable use
You must not use the service unlawfully, fraudulently or harmfully; infringe privacy, confidentiality or intellectual-property rights; upload malware or unlawful content; probe or bypass security; interfere with availability; send spam or communications without the required authority or consent; impersonate another person; scrape, resell or provide the service to third parties; or use the service for high-risk decisions where an error could reasonably cause death, personal injury or serious environmental damage. You must not upload unnecessary special-category or criminal-offence data.
We may remove or restrict access to content, features or accounts where we reasonably believe this is necessary to investigate or prevent unlawful use, security risk, infringement, harm to others or material breach. Where lawful and practicable, we will explain the reason and allow a reasonable opportunity to remedy a remediable breach.
6. Availability, maintenance and changes
The service is provided on an “as available” basis. We do not promise uninterrupted or error-free operation, any particular uptime or response time, or that every defect will be corrected. Internet, hosting, email, mapping, payment and other third-party services may fail or change beyond our control. Planned and emergency maintenance, security action, capacity limits and updates may affect availability.
We may improve, replace, withdraw or change features where reasonably necessary for security, law, third-party dependencies, performance or product development. We will give reasonable notice of a material reduction to a paid core feature where practicable. Preview, beta or experimental features may be changed or withdrawn at any time and must not be relied on for critical operations.
7. Third-party services and communications
Links, integrations, email delivery, maps, payment facilities and other third-party services are governed by their providers’ availability and terms. Aizyne is not responsible for a third party’s acts, omissions, content, refusal, delay, suspension, security failure or service change, except to the extent the law makes us responsible. Delivery indicators do not guarantee that a recipient received, read or acted on a communication. You must verify time-critical, safety-critical and legally required communications independently.
Online customer payments are optional and require the subscriber's explicit authorisation. When enabled, the subscriber connects and operates its own Stripe account, contracts separately with Stripe, and remains responsible for keeping its Stripe and payout information accurate and for charges, fees, refunds, disputes, chargebacks, taxes, customer service and compliance. Aizyne supplies the technical connection and does not receive, hold or control customer funds. Payment processing, verification, payment-method availability and payouts are provided by Stripe; the subscriber should use Stripe support for those matters. Aizyne currently charges no platform fee or commission on these payments; Stripe's own charges may apply. Disabling online payments hides new payment options but does not cancel, close or alter the subscriber's Stripe account or existing Stripe obligations. Neither the service nor the Stripe connection guarantees uninterrupted payment processing, subject always to rights and liabilities that cannot lawfully be excluded.
8. Data, privacy and subscriber content
You retain ownership of content you submit. You grant Aizyne and its authorised subprocessors a worldwide, non-exclusive, royalty-free licence to host, copy, transmit, display, secure, back up and otherwise process that content only as needed to provide, protect, support and improve the service, comply with law, and enforce the agreement. Where we process personal data for you, the Data processing terms apply.
You warrant that you have all rights, notices, consents and lawful bases needed for the content and instructions you provide. You remain the controller of customer, worker and business data entered for your purposes and are responsible for responding to individuals and meeting retention, accuracy, transparency and marketing rules.
9. Fees, tax, renewal and cancellation
Plan price, billing interval, taxes, limits and any introductory offer will be shown before purchase. The Subscription and payment terms apply to all paid plans. You are responsible for fees and taxes due before cancellation takes effect and for keeping billing information current. We may suspend paid features after failed payment or material non-payment on reasonable notice.
10. Intellectual property and feedback
Aizyne, its software, branding, interface, documentation and underlying technology belong to Aizyne or its licensors. Subject to payment and compliance with this agreement, we grant you a limited, revocable, non-exclusive, non-transferable right to use the service internally for your business while your account is active. You must not copy, modify, frame, resell, sublicense, reverse engineer, extract source code from or commercially exploit the service except where applicable law does not permit that restriction.
If you voluntarily provide feedback, you permit us to use it without payment or restriction, provided we do not identify you publicly without permission.
11. Confidentiality
Each party must protect the other’s non-public confidential information with reasonable care and use it only for the agreement. This does not apply to information already lawfully known, independently developed, publicly available without breach, or lawfully received from another source. A party may disclose information where required by law, and will give notice where legally permitted.
12. Warranties and statutory rights
We will provide the service with reasonable care and skill. Except for that express promise and any right that cannot lawfully be excluded, the service, documentation and all output are provided without warranties, conditions or representations, whether express, implied or statutory, including as to merchantability, fitness for a particular purpose, accuracy, completeness, compatibility, non-infringement or results. No demonstration, roadmap, estimate or informal statement is a contractual promise unless expressly included in written order details.
13. Liability
Liability that cannot be restricted. Nothing in the agreement excludes or limits either party’s liability for death or personal injury caused by its negligence; fraud or fraudulent misrepresentation; your obligation to pay valid fees; or any other liability that cannot lawfully be excluded or limited. Nothing relieves either party of its own direct obligations under applicable data-protection law.
Excluded losses. Subject to the paragraph above, neither Carter Langley nor Aizyne Group will be liable for loss of profit, revenue, business, contracts, opportunity, anticipated savings, goodwill or reputation; business interruption; wasted management or staff time; loss, corruption or restoration of data where it could reasonably have been avoided by suitable records or backups; the cost of obtaining substitute services; or any indirect, special or consequential loss. This applies whether the claim is in contract, delict (including negligence), breach of statutory duty, misrepresentation, restitution or otherwise, and whether or not the possibility was known.
Excluded causes. Subject to liability that cannot be restricted, we are not liable for loss arising from subscriber content or instructions; inaccurate, incomplete or late input; failure to verify output; unauthorised account use not caused by our breach; a subscriber’s work, products, workers, contractors, customers, communications or legal non-compliance; third-party services; internet or utility failure; or events beyond our reasonable control.
Liability cap. Subject to liability that cannot be restricted, the total aggregate liability of Carter Langley and Aizyne Group arising out of or connected with the service and agreement in any rolling 12-month period will not exceed the greater of £100 and the fees actually paid by the affected subscriber for the service during that period. Multiple events, claims, users or legal grounds do not increase this cap.
Each exclusion and limitation is separate and applies only to the fullest extent permitted by law. The parties agree that these provisions allocate risk reasonably in light of the service, its business-only nature, the fees charged, the subscriber’s duties to verify output and maintain insurance and records, and the availability of alternative services.
14. Subscriber indemnity
To the fullest extent permitted by law, you will indemnify Carter Langley and Aizyne Group against third-party claims, regulatory demands, losses, damages, penalties, costs and reasonable professional fees arising from your content, products, services, customer contracts, communications, infringement of another person’s rights, unlawful processing, or material breach of sections 3, 4, 5 or 8, except to the extent caused by our breach, negligence or wilful misconduct. We will notify you promptly of a claim, allow you reasonable control of its defence and settlement, and provide reasonable cooperation at your cost. You may not settle a claim in a way that admits fault by or imposes an obligation on us without our written consent.
15. Suspension and termination
You may cancel as described in the Subscription terms. We may suspend or terminate access immediately where reasonably necessary for security, unlawful activity, serious misuse, risk to others or legal compliance, and may suspend or terminate for non-payment or other material breach if it is not remedied within a reasonable period after notice where it can be remedied. We may discontinue the service on reasonable notice.
When a trial or subscription ends, full working access ends and the workspace becomes read-only: existing records remain viewable and exportable, but new work cannot be created and existing work cannot be changed. A returning subscriber may reactivate the same workspace rather than being treated as a new customer. Fees already due remain payable. We may restrict even read-only access where required for security, unlawful activity or law. Data may later be deleted in accordance with the Data processing terms, our notified retention procedures and applicable law, so you must export records you are legally or operationally required to keep.
16. Force majeure
Neither party is liable for delay or failure caused by events beyond its reasonable control, including internet, telecommunications, hosting or utility failure; cyberattack despite reasonable safeguards; fire, flood, severe weather, epidemic, labour dispute, civil disorder, government action or supplier failure. This does not excuse payment already due. The affected party will take reasonable steps to reduce the effect.
17. Changes to these terms
We may update the agreement for legal, security, operational or product reasons. We will identify the version and effective date and give reasonable notice of material changes. Where a change materially affects existing subscribers, we may require fresh acceptance before continued use. Continued use after the notified effective date constitutes acceptance where the law permits. If you do not agree, you must stop using and cancel the service before the change takes effect.
18. General
The agreement is the entire agreement about the service and replaces earlier statements on that subject, but does not exclude liability for fraud. A failure or delay to enforce a right is not a waiver. If any provision is unlawful or unenforceable, it will be modified to the minimum extent necessary or severed, and the remainder continues. You may not assign or transfer the agreement without our written consent. We may assign it as part of a genuine transfer, restructuring or sale of the service, provided this does not materially reduce your rights. No person other than the parties has a right to enforce the agreement. Sections intended by their nature to continue—including payment, intellectual property, confidentiality, liability, indemnity and general provisions—survive termination.
19. Law, disputes and contact
The agreement and any non-contractual dispute are governed by Scots law, and the Scottish courts have exclusive jurisdiction, except where mandatory law requires otherwise. Before starting proceedings, each party should give written details of the dispute and allow at least 30 days for good-faith resolution, unless urgent relief or a limitation deadline requires earlier action.
